The Paychex Live Demo Program (the “Promotion”) provides Eligible Participants the opportunity to receive a twenty dollar, no cent ($20.00) Gift Code (“Gift”) by watching a Paychex Flex® Overview video in its entirety (the “Video”) and completing a short form (a “Gift Request”). Each Eligible Participant that watches the Video in its entirety and submits a Gift Request (each a “Participant”) in accordance with these Terms & Conditions will receive a Gift, while supplies last.
1. Organizer. The Promotion is organized and sponsored by Paychex, Inc., 911 Panorama Trail S., Rochester, NY 14625 (the “Organizer”).
2. Term of the Promotion. The Promotion begins at 12:00:01 a.m. November 23, 2016 (Eastern Standard Time) and runs through the earlier of 12:00:00 p.m. (Eastern Standard Time) on January 31, 2017 or while supplies last (the “Promotion Period).
3. Agreement to Official Rules: By entering the Promotion, each Eligible Participant, individually and on behalf of their eligible business, indicates their full and unconditional agreement to, and acceptance of, (a) these Terms & Conditions; and (b) Organizer’s decisions, which are final and binding. Receiving a Gift is contingent upon fulfilling all requirements set forth in these Terms & Conditions.
4. Eligibility. All legal residents of the 50 United States and the District of Columbia who are eighteen (18) years of age or older and who are currently employed by a business located in the United States or the District of Columbia with less than one thousand (1,000) employees that does not currently use any Paychex service (each an “Eligible Participant”). Each Eligible Participant agrees to be bound by these Terms & Conditions. Any Eligible Participant that Organizer believes has engaged in fraudulent behavior or any attempt to corrupt or impair the administration, security, fairness or proper administration of this Promotion shall not be eligible to receive a Gift. Employees and relatives of employees of the Organizer and any entities affiliated or related to the Organizer are not eligible to enter the Promotion. The term “relative” means spouse, partner, parent, stepparent, children, stepchildren, sibling, or stepsibling.
5. How to Receive a Gift. To receive a Gift Eligible Participants must visit http://715-YZO-232.mktoweb.com/lp/payx/flex-paycard.html, watch the Video in its entirety and complete the Gift Request form. All Gift Requests must be received during the Promotion Period. There is a limit of one (1) Gift per Participant or business. The Promotion will end at the conclusion of the Promotion Period or when supplies of the Gift are exhausted, whichever comes first.
6. Receipt of Materials. By viewing the Video and/or submitting a Gift Request, Participants agrees to receive materials from Organizer and will be treated in accordance with Organizer’s Privacy Policy available at paychex.com/corporate/privacy.aspx.
7. Gift. While supplies last the Organizer shall give the Gift to all Eligible Participants who watch the Video in its entirety and submits a Gift Request in accordance with these Terms & Conditions. There is a limit of one (1) Gift Request and one (1) Gift per Participant and eligible business. Taxes on the Gift and expenses related to acceptance, delivery and use of the Gift are the sole responsibility of the Participant. Any lost or stolen Gifts will not be replaced by Organizer. No substitutions/transfers permitted. A Gift may not be redeemed for cash.
8. Notification of Gift Recipients. Organizer will notify all recipients of Gifts by email and Gifts will be sent out within four (4) weeks after the Promotion Period ends. Terms, conditions and restrictions on Gift may apply, as designated by issuer.
9. Release and Limitations of Liability. BY PARTICIPATING IN THIS PROMOTION, PARTICIPANTS AGREE TO RELEASE AND HOLD HARMLESS ORGANIZER, ITS AFFILIATES, SUBSIDIARIES, ANY SOCIAL MEDIA PROVIDER ON WHICH THE PROMOTION IS LISTED, INCLUDING BUT NOT LIMITED TO FACEBOOK®, AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS FROM AND AGAINST ANY CLAIM ARISING OUT OF PARTICIPATION IN THE PROMOTION.
10. Dispute Resolution. Except where prohibited by law, any and all disputes, claims and causes of action arising out of or in connection with the Promotion shall be resolved individually, without resort to any class action, exclusively by the courts located in the judicial district including Rochester, New York. All issues concerning the construction, validity, and interpretation of these Terms & Conditions shall be governed by and construed in accordance with the laws of the State of New York (and federal laws, as applicable), without giving effect to any choice of law or conflict of law rules that would result in the application of the laws of any jurisdiction other than the laws of the State of New York and applicable federal laws.
11. General. In the event that the operation, security, or administration of the Promotion is impaired in any way, Organizer may, in its sole discretion, subject to any written directions from a competent regulatory authority, suspend the Promotion to address the impairment and then resume the Promotion. Organizer’s failure to enforce any term of these Terms & Conditions shall not constitute a waiver of that provision. Proof of sending any communication to Organizer by mail shall not be deemed proof of receipt of that communication by Organizer. The Promotion is subject to federal, state, and local laws and regulations. Organizer shall not be responsible for any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections. No social media provider, including but not limited to Facebook®, is affiliated with, an administrator of, or a sponsor of this Promotion.
